Refund Agreement

   This Refund agreement is made and entered into by and between the customer
named below ("Customer") and Simpson-Huffines Motors.

   Whereas, the Customer has purchased the vehicle described below from
Simpson-Huffines Motors; and

   Whereas, Simpson-Huffines Motors is willing to refund the actual
consideration paid by the Customer for the purchase of the vehicle subject to
the considerations hereof.

   Now, Therefore, for good and valuable consideration, the receipt and
sufficiency of which is acknowledged, the parties agree as follows:

   1.  Acknowledgement of Purchase. Each of the parties acknowledge that
the Customer has purchased from Simpson-Huffines Motors the vehicle identified
below (the "Vehicle") on the date of this Agreement.

   2.  Conditions of Refund. If the Customer is dissatisfied with the
Vehicle and if the Customer satisfies EACH of the conditions set forth in this
Section 2, Simpson-Huffines Motors will rescind the transaction and refund the
purchase price in the manner set forth in Section 3 below. In order to receive
the refund described herein and a rescission of the transaction, each of the
following conditions must be satisfied:

       a.  The Vehicle shall be returned to Simpson-Huffines Motors at its
	 principle place of business and, upon its return, the odometer must reflect
	 that the Vehicle has not been driven more than 300 miles since the Customer
	 took delivery of it. Mileage shall be calculated from the mileage shown on
	 this agreement.

       b.  No more than 3 business days shall have elapsed since the purchase
	 of the Vehicle.

       c.  The Vehicle shall not have sustained any body or other damage while
	 in the possession of the Customer.
	 
   3.  Refund of Purchase Price. Upon the fulfillment of each of the
conditions set forth above, Simpson-Huffines Motors shall refund to the Customer
the actual cash or other consideration it paid for the purchase of the Vehicle.
If any one or more of the conditions listed in Section 2 above are not
completely fulfilled, Simpson-Huffines Motors shall have no obligation to
rescind the transaction and refund any consideration to the Customer.

   4.  Cooperation. In the event the Customer's purchase of the Vehicle
is rescinded according to the terms and provisions of this Agreement, each party
shall cooperate with the other to execute any and all documents or instruments
necessary to effect the rescission.

   5.  Entire Agreement. This Agreement contains the entire agreement
regarding any refund of the price paid by the Customer for the Vehicle and
rescission of the transaction.
